1. PREAMBLE
These general terms and conditions of sale apply to all commercial transactions concerning the products offered for sale by the torrefactory project sa/nv within its torrefactory project internet shop, to the exclusion of all other conditions (unless expressly waived in writing and mutually agreed by the parties). The mere fact of placing an order through the torrefactory project website implies acceptance of the general terms and conditions set out below.
2. DEFINITIONS
The terms used in these General Terms and Conditions or on the torrefactory project website should be understood as follows: 2.1. torrefactory project: the website of the torrefactory project sa/nv on which the products are presented and sold to customers. all domains (.be, .lu, .fr, .nl,...) and linked urls are included under the name torrefactory project. 2.2. customer: any natural or legal person, legally capable and over 18 years of age, who places an order for product(s) through the torrefactory project website. 2.3. order: request for the conclusion of a sales contract by the customer between the torrefactory project sa/nv and the customer of the torrefactory project internet shop concerning the products presented by torrefactory project. 2.4. product listing: refers to the information (text, photos, graphics, classification system by category, etc.) related to a product offered for sale on the torrefactory project site. 2.5. Products: all goods offered for sale by the torrefactory project sa/nv through the torrefactory project Internet Boutique. 2.6. Transaction: all operations, secure processing, authorizations and agreements related to the payment of products ordered by credit card or any other virtual transaction method offered on the site.
3. ACCEPTANCE OF THE CONDITIONS
The customer acknowledges having read these general terms and conditions of sale and, by placing the order, expressly accepts them without reservation.
4. SUBJECT
The torrefactory project sa/nv offers products for sale online (article 5) revolving around coffee, tea and infusions. the customer logs on to the website and, by filling his/her shopping basket, places an order for the products he/she has chosen while browsing the site (article 6). the products purchased are paid for online using one of the solutions offered on the site (article 8). torrefactory project confirms acceptance of the order by e-mail and the products are delivered to the customer within a specified period (article 7).
5. PRODUCTS
Only products for which a "product sheet" is published on the torrefactory project website can be sold.
6. ORDERING
6.1. all information provided by the customer during the encoding of data related to the order is binding. torrefactory project shall in no way be held responsible for any errors made by the customer in the order recipient's contact information (delivery address, billing address, etc.) and for any delays in delivery or the inability to deliver the ordered products that may result from such errors. 6.2. the automatic registration systems are proof of the nature, content and date of the order. 6.3. upon receipt of the order request, torrefactory project confirms acceptance of the order by sending a confirmation message to the e-mail address provided by the customer when registering the order. the sale will only be concluded upon the sending of said order confirmation. 6.4. in general and without any justification, torrefactory project reserves the right to refuse or cancel any order from a customer, in particular in the event of a payment problem for the order in question or a dispute relating to the payment of a previous order. 6.5. except for the "on demand" category, almost all products are in stock. if the product ordered is not or no longer available immediately, torrefactory project will inform the customer of the delivery time by email. if the customer is not satisfied with the given delivery time, he/she may then choose to modify or cancel the order. 6.6. only legally capable persons may place an order.
7. DELIVERY
7.1. upon confirmation of the order and acceptance of payment by the transaction processor, torrefactory project undertakes to ship the ordered products to the customer at the delivery address indicated within a period of time generally ranging from 1 to 3 business days depending on the destination. all details concerning delivery times are available on the torrefactory project website. 7.2. by placing an order, the customer undertakes to pay, upon receipt of the goods, all taxes, duties, levies and other present and future charges due in respect of the delivery of the ordered products. the torrefactory project sa/nv shall not be held jointly and severally liable in this respect. 7.3. delivery is carried out by bpost and in belgium only. delivery rates and delivery times are available on the torrefactory project website. no compensation may be claimed from the torrefactory project or the carrier by the client in the event of late delivery. 7.4. upon receipt of the ordered products, the client or recipient must verify the good condition of the delivered product. in the event that one or more of the ordered products are missing or damaged, the client or recipient must immediately make the necessary reservations to the carrier at the time of delivery. 7.5. if a parcel is not received despite the carrier's various visits (maximum three visits), it will be returned to torrefactory project and the recipient will be notified by e-mail. an additional delivery may be requested by the buyer and the buyer will bear the costs thereof (even if the first shipment was made free of charge). 7.6. customers or recipients of the products are prohibited from reselling all or part of the products purchased.
8. WITHDRAWAL
8.1. in accordance with the legislation in force for distance selling (law of July 14, 1991), the customer has the right to renounce his purchase without penalty and without giving any reason. the customer has a period of 14 calendar days from receipt of the ordered products to return them to torrefactory project for exchange or refund. in order to obtain a refund or exchange, the customer must return the new products (with the delivery note) in their original packaging, undamaged, with all accessories (such as user manuals and documentation) to the following address: torrefactory project logistics centre the torrefactory project sa/nv Rue des griottes, 20 5100 wépion Belgium2.If the products are returned to torrefactory project within the aforementioned conditions and timeframe, torrefactory project undertakes to reimburse the sums paid by the customer (with the exception of the delivery costs), free of charge.
9. PRICE
9.1. the price indicated on the product sheets does not include transport costs. 9.2. the price indicated in the order confirmation is the final price, including all taxes and including vat. this price includes the price of the products, handling, packaging and storage costs, and shipping costs. 9.3. torrefactory project reserves the right to modify the price of the products at any time, but the products are invoiced on the basis of the prices in effect at the time the orders are registered.
10. PAYMENT
10.1. the price of the products is payable in cash by one of the means of payment offered on the site on the day the order is placed. 10.2. the protection against fraudulent use of the means of payment used for the transaction, in particular as a result of piracy, and against any disputes regarding payment of the price of an order is ensured by stripe. 10.3. the order validated by the customer only becomes effective when the secure bank payment centre and the stripe company have given their agreement on the execution of the transaction. in the event of refusal by the secure bank payment centre or the stripe company, the order will be automatically cancelled and the customer will be informed by e-mail. 10.4. the information concerning the order is subject to automated data processing for which stripe is responsible. the purpose of this automated data processing is to combat credit card fraud. stripe and torrefactory project are the recipients of the data relating to the order. failure to transmit order-related data prevents the transaction from being carried out and analysed. in the event of fraudulent use of a bank card, irregular declaration or anomaly, the order-related data associated with this unpaid order may be entered in a payment incident file.
11. RESPONSIBILITY
11.1. torrefactory project and the torrefactory project sa/nv shall not be held liable in any way for damages of any kind that may result from improper use of the products sold. 11.2. torrefactory project or the torrefactory project sa/nv shall not be held liable for any modifications to the products made by the manufacturers. 11.3. torrefactory project or the torrefactory project sa/nv's liability shall in any event be limited to the amount of the order and shall not be held liable for simple errors or omissions that may have occurred despite all precautions taken in the presentation of the products. in particular, the photos presented on the site are provided for information purposes. under no circumstances may a modification of the container or content of a product be invoked in the event of a discrepancy with the photo available on the site. the instructions published in the product sheets are for information purposes only. the customer undertakes to read carefully the instructions displayed by the manufacturer on or in the packaging of the product. it is these instructions that contain the information (and in particular the dosages and contra-indications) that the user must follow. 11.4. this site contains links to other websites. neither torrefactory project nor the torrefactory project sa/nv can be held responsible for the current or future content of these websites, nor for the content of external websites that have a link to the torrefactory project website.
12. GUARANTEE
12.1. in no event shall torrefactory project or the torrefactory project sa/nv be held liable for any failure to comply with the laws and regulations in force in the country of receipt. the liability of torrefactory project or the torrefactory project sa/nv shall be exclusively limited to the value of the product in question, as determined at the date of sale. the customer may contact customer service via the email address provided on the torrefactory project website.
13. PERSONAL DATA
13.1. the collection of personal information for the purposes of distance selling is mandatory, as this information is essential for the processing and delivery of orders. 13.2. torrefactory project complies with the Belgian law of 8 December 1992 on the processing of personal data, as revised by the law of 11 December 1998, which takes into account the European directives of 24 October 1995. this law stipulates that the company collecting personal data must have the consent of the person concerned, that the data must be accurate and that it must be collected for a precise, clear and legal purpose. In accordance with the law, the processing of personal data relating to customers has been declared to the Commission for the Protection of Privacy. The customer has the right to access, modify, rectify and delete data concerning him/her, which he/she may exercise by contacting torrefactory project. 13.3. torrefactory project and the torrefactory project sa/nv undertake never to communicate their clients' contact information to a third party.
14. INTELLECTUAL PROPERTY
The texts, layouts, illustrations, photos, product sheets and other elements on this site are protected by copyright and, in general, by the principles of intellectual property law. the content of the torrefactory project site may not be copied. it may not be modified, placed on another site or published in any form without the prior written consent of the torrefactory project sa/nv. this site may also contain texts, illustrations and other elements protected by the copyright of third parties. torrefactory project does not grant permission to use their intellectual property or that of third parties in any way.
15. DISPUTE AND APPLICABLE LAW
In the event of difficulties in the application of this contract, the customer and torrefactory project / the torrefactory project sa/nv reserve the right to seek an amicable solution before taking any legal action. failing this, only the courts of namur shall have jurisdiction, regardless of the place of delivery of the products or the customer's domicile. the contracts and all legal relationships between the customer and torrefactory project / the torrefactory project sa/nv shall be governed by belgian law
